How it comes together
- We examine the debt and the underlying real estate together: balance, payment terms, performance, lien position and collateral value. The unpaid balance alone does not establish what the note is worth.
- We discuss the intended transaction and repayment source, including servicing and any proposed workout. A note purchase, a loan secured by a note and a direct property acquisition are separate arrangements.
What to share
- A summary of the property, note balance, asking price or liquidity request and ownership of the note.
- Payment terms, performance history, maturity, lien position and any known defaults or disputes.
- Your acquisition or repayment plan and the status of available loan, assignment and servicing records.

What to work through
- Complete documentation and the ability to transfer or pledge the debt are central to review. A note holder’s rights do not automatically include immediate ownership or possession of the property.
- Nonperforming debt may involve uncertain collections, additional expenses and lengthy resolution. A discount to the balance does not by itself establish a profitable or fundable investment.
